The persona

Janky and Guggimon, the vinyl-toy characters Superplastic markets as "animated celebs," belong to a company whose 2018 seed filing named founder Paul Budnitz. Two later SEC filings extend that record: a Form D Superplastic, Inc. signed in August 2021, and a Form D a syndicate vehicle filed in December 2022 describing a "Pre-B" round. Together, the 2021 filing and the 2022 syndicate filing show the studio raising outside capital well past its founding, with neither character named in either document.

What the documents establish

Superplastic's own Form D records a first sale of securities on 22 July 2021, signed by Budnitz as president and chief executive on 3 August 2021. It discloses a total offering of $28,474,673, of which $16,974,226 had already sold to 32 investors, and names Bryan Rosenblatt as a director alongside Budnitz. A second filing adds a later chapter: Superplastic SAFE Pre-B, a series of EAC SPVs LLC, recorded its own first sale on 9 November 2022 and $312,540 raised through that one vehicle, managed by Kevin Colas and Allocation Fund Administration LLC. That filer's name is the only place either document states what round Superplastic was raising; the SEC's filing index also lists three further vehicles — tied to FOG Venture Funds II, Sharding Holdings Management and Bluewatch Ventures — filing similarly named Form Ds within the same two weeks, so several syndicate conduits fed the round rather than Superplastic filing once itself.

Character versus company

Superplastic's own site, retrieved 16 September 2026, still frames Janky, Guggimon and Dayzee as its "top synthetic superstars" and says the brand "sells tens of millions of dollars in real and virtual products annually." None of that appears in either Form D, and no character holds a title, signature or director's seat on any filing. The people named — Budnitz and Rosenblatt on the 2021 filing, Colas and an administrative manager on the 2022 one — are the operators making financing decisions; the characters remain the product the financing supports, not participants in raising it.

What to watch

No Form D filed by Superplastic itself has surfaced for the Pre-B round; only investor-side vehicles have filed so far, so the round's size, lead investor and closing status are undisclosed in Superplastic's own name. A reader tracking the company's financing should treat the 2022 Pre-B as confirmed to exist, on the evidence of four independently filed Form Ds naming it, but not fully documented in scale until the company files its own notice, if it does.

  • Has Superplastic, Inc. filed its own Form D disclosing the Pre-B round's full size?
  • What connects EAC SPVs, FOG Venture Funds II, Sharding Holdings Management and Bluewatch Ventures to Superplastic's board?
  • Did the 2021 raise's SAFEs convert before the 2022 Pre-B, and at what valuation?

What these filings verify is narrower than a funding headline: a company signed a $28.47-million offering notice in 2021, and four investment vehicles told the SEC in late 2022 they were funding a "Pre-B" round in that company; anything beyond that is not yet in a document this review could open.
